Terms of service
Last updated: 16 October 2026
This is a draft that a lawyer has not yet reviewed. It describes how the DueChase pilot works today.
These terms apply when you use DueChase. By signing in to the app or using the service, you agree to them on behalf of your business. If you do not agree, do not use the service. In these terms, "we" and "us" mean [LEGAL ENTITY NAME: not yet filled in], and "you" means the business using DueChase, which we also call the practice.
What the service is
DueChase is software that helps bookkeepers and accountants follow up on their clients' overdue invoices. You import invoice data, choose a reminder sequence, and DueChase prepares email and SMS reminders. By default each reminder waits for your approval. If you turn on auto-send for a client, reminders for that client go out without approval.
DueChase is a pilot. Features may be unfinished, may change or may be removed. Some things described on our website are planned and not available yet, such as the Xero connection. SMS is not available until we switch it on.
Who may use it
The service is for businesses. The person who signs in must be at least 18 and must have authority to bind the practice to these terms. It is not for personal or household use.
Accounts and shared access
Each person at your practice signs in with their own account, which an administrator creates by invitation. Keep your password private, give accounts only to people who need them, and ask an administrator to deactivate an account when someone leaves. You are responsible for everything done with your accounts. Every person in your practice can see all of your clients in the app, and the app keeps an audit log of who did what.
What you are responsible for
You use DueChase at your own direction. You agree to the following.
- Upload only data that you and your clients are allowed to use for this purpose.
- Have permission to contact each customer by the channel you use, and a lawful basis under the laws that apply to you, your client and the customer.
- Follow the debt-collection, consumer-protection, privacy, email and SMS laws that apply where you and your customers are. These laws differ by country and region, and they can cover reminders for ordinary invoices.
- Read every message before it goes out, and review each client's settings before you turn on auto-send. Check amounts, dates, currencies and recipient details, especially after a CSV import, because slash dates and currencies can be read wrongly.
- Pause any invoice that is disputed, and stop contacting anyone who asks you to stop. The product lets you mark a customer as do-not-contact and records STOP replies to texts. It does not put an unsubscribe link in emails, so you remain responsible for honouring opt-outs, including replies that reach your reply-to address.
- Set a reply-to address for each client and keep it monitored, because customers will reply to reminders.
- Have your client's agreement for sending reminders in its name.
No legal advice, and we are not a debt collector
DueChase does not give legal advice. Nothing in the product or on the website tells you what is lawful in your situation. Ask a lawyer if you are unsure.
DueChase is software. It sends messages that you approve, or that you have told it to send automatically. We do not contact your customers on our own behalf, we do not collect or hold payments, and we do not negotiate with anyone. You remain the creditor or the creditor's agent, and you are responsible for the content and timing of what is sent in your or your client's name.
Fees
The pilot costs $149 a month. We set up DueChase with you for up to five of the clients who pay slowest and talk through how it is going each week. The $149 is credited toward your first practice plan. The practice plans and prices on our website are in US dollars, and they may change during the pilot, as may what each plan includes. SMS is billed by usage on the plans that include it. We will agree payment details with you when you start.
Acceptable use
You agree not to:
- send messages that are false, threatening, harassing, discriminatory or misleading, or that pretend to come from a court, government body or law firm
- use the service to contact people who have asked not to be contacted, or to send spam
- upload data you have no right to use, or data of a kind the service is not built for, such as payment card numbers or health records
- try to break, probe or overload the service, bypass the rate limits, or get into data that is not yours
- copy, resell or reverse engineer the service, except as the law allows
- use the service to break the law or someone else's rights
Your data
You and your clients keep ownership of the data you put into DueChase. You give us permission to store, process and send it as needed to run the service for you. That includes passing it to the providers that deliver messages and host the service, as described in our privacy policy. We do not sell it, and we do not use Xero data to train AI models.
For personal data about your customers, we act on your instructions, and you are responsible for having the right to give us that data. We may keep service-level information, such as how the product is used and what errors occur, to run and improve the service.
Confidentiality
Each of us will keep the other's non-public information confidential and use it only for the pilot. This covers your client and customer data, and our pricing, plans and non-public product details. It does not cover information that is public through no fault of the person holding it, that they already had, or that they must disclose by law.
The pilot is provided as is
We provide the pilot as is and as available, and we make no guarantee about it. We do not promise that it will be free of errors, available at any particular time or fit for a particular purpose. We have not committed to an uptime level or support response time.
Please keep these specific points in mind.
- Reminders can bounce, fail, be filtered as spam or reach the wrong person. We do not retry failed sends automatically.
- A status of "sent" means the message was handed to a delivery provider. It is not proof that the customer received or read it.
- Until email delivery is set up, reminder emails stay in the approval queue and cannot be sent, and SMS steps are skipped. Check the status of each reminder rather than assuming it went out.
- Amounts, dates and recipients come from the data you import. We do not check it against your books.
- Keep your own copy of your data. We take backups for our own purposes, but we do not promise that data can be restored.
Limits on our liability
To the extent the law allows, we are not liable for indirect or consequential loss, or for lost profits, lost revenue, lost data, lost goodwill or harm to relationships with your clients or their customers. To the extent the law allows, our total liability for any claim connected to the service is limited to the fees you paid us in the three months before the event that led to the claim. Some places do not allow these limits, and then they apply only as far as the law permits. Nothing in these terms limits liability that cannot legally be limited.
Indemnity
You will cover our reasonable costs and losses from a third-party claim that comes from data you uploaded, messages you approved or sent, or your breach of these terms or the law. We will tell you promptly about the claim and let you help with the defence, and we will not settle it in a way that binds you without your agreement.
Suspension and ending
You can stop using the service at any time by emailing us. We can end or pause your access, with notice where practical, if you break these terms, if we think the service is being used unlawfully or in a way that could harm others, or if we end the pilot. We may pause sending immediately if we think it is needed to prevent harm.
If your access ends, email [email protected] and we will return your data on request, as a file we prepare by hand, and we will delete it on request. Backup copies may keep it for a while, as the privacy policy explains. Sections that by their nature should continue, such as confidentiality, liability and indemnity, continue after the terms end.
Changes to these terms
We may change these terms as the product changes. The date at the top shows the latest version. For a significant change we will try to tell you by email. If you keep using the service after a change takes effect, you accept the new terms. If you do not accept them, stop using the service.
Governing law
These terms are governed by the following law, and disputes will be handled in the following courts: [GOVERNING LAW AND COURTS: not yet filled in].
